Privacy and Data Use Notice

IMPORTANT DRAFTING NOTE: This notice is a companion draft for the SidecarIQ Emily Research Preview and Evaluation Terms. It should be reviewed by qualified counsel before publication.

This Privacy and Data Use Notice explains how SidecarIQ, LLC ("SidecarIQ," "we," "us," or "our") may collect, use, disclose, and retain information in connection with the Emily research preview (the "Preview"). The Preview is an early-stage, free, experimental product for business evaluation and testing.

1. What We Collect

We may collect:

  1. account and contact information, such as name, business email, company, role, login details, and organization;
  2. content you provide, such as prompts, messages, uploads, emails, CRM records, contacts, deal notes, properties, spaces, tenant requirements, documents, URLs, feedback, approvals, corrections, and other information you submit or connect;
  3. connected-account information, such as information available through email, CRM, messaging, browser, calendar, storage, or other integrations you authorize;
  4. usage and telemetry data, such as sessions, clicks, commands, feature activity, prompts, responses, logs, errors, latency, source metadata, approvals, rejections, and interaction history;
  5. generated information, such as outputs, summaries, reports, recommendations, entity matches, scores, classifications, signals, memory entries, knowledge graph records, and derived insights; and
  6. public, third-party, and aggregated information, such as public records, government data, broker data, web data, listing data, business data, contact data, zoning data, property data, ownership data, lender data, distress signals, and other commercial real estate information.

2. Do Not Submit Sensitive Data

Do not submit sensitive, regulated, restricted, or unauthorized information to the Preview unless SidecarIQ has signed a separate written agreement allowing it.

Do not submit health data, Social Security numbers, payment card data, government IDs, children's data, protected-class data, consumer reports, tenant-screening data, credit data, confidential client information you lack authority to share, or other regulated data.

3. How We Use Information

We may use information to:

  1. provide, operate, test, debug, secure, maintain, and improve the Preview;
  2. generate outputs, reports, recommendations, scores, classifications, summaries, drafts, and other Preview results;
  3. build, update, enrich, deduplicate, normalize, and improve SidecarIQ datasets, knowledge graphs, entity records, models, agents, workflows, memory systems, benchmarks, and evaluation sets;
  4. train, fine-tune, evaluate, benchmark, monitor, and improve AI models, software, data pipelines, and product features;
  5. create aggregated, de-identified, anonymized, inferred, synthetic, statistical, derived, or analytical data and insights;
  6. understand product usage, data quality, user needs, and feature performance;
  7. detect abuse, security issues, errors, and prohibited use;
  8. communicate with you about the Preview; and
  9. comply with law, enforce terms, and protect SidecarIQ, users, vendors, and others.

Because the Preview is free and experimental, learning from usage, feedback, content, outputs, and data is a core purpose of the Preview.

4. AI and Third-Party Providers

We may use third-party service providers to operate, host, secure, analyze, improve, or provide the Preview. These may include AI model providers, cloud providers, database providers, analytics providers, email providers, CRM providers, mapping and geocoding providers, enrichment providers, browser or workflow tools, and other vendors.

Information you provide or generate may be transmitted to and processed by those providers as needed for the Preview, product improvement, security, testing, and related purposes.

5. Public and Third-Party Data Sources

The Preview may use information from public records, public websites, scraped sources, government systems, broker materials, listing sources, third-party APIs, commercial websites, user submissions, and other sources.

We do not guarantee that these sources are accurate, current, complete, available, or usable for your intended purpose. The Preview does not grant you any license from a third-party data source. You are responsible for determining whether your use of data requires a separate license, consent, notice, or compliance step.

6. Disclosure

We may disclose information:

  1. to service providers and vendors that help operate, secure, test, analyze, or improve the Preview;
  2. to affiliates, contractors, advisors, counsel, auditors, investors, acquirers, successors, and business partners;
  3. as part of a merger, financing, acquisition, reorganization, sale, diligence process, or similar business transaction;
  4. to comply with law, legal process, subpoenas, court orders, government requests, or regulatory obligations;
  5. to enforce agreements, protect rights, prevent abuse, investigate security issues, or protect SidecarIQ, users, vendors, and others; and
  6. with your authorization or at your direction, including through connected accounts and integrations.

7. Retention

We may retain information for as long as useful or necessary for the Preview, product development, security, legal, compliance, backup, audit, analytics, research, improvement, commercialization, and business purposes, subject to applicable law.

We may retain aggregated, de-identified, anonymized, derived, inferred, synthetic, statistical, analytical, model, benchmark, evaluation, log, backup, and security information even after Preview access ends.

8. Security

We use commercially reasonable safeguards for the Preview. However, the Preview is experimental and is not warranted to meet any particular security, privacy, compliance, certification, SOC 2, ISO, HIPAA, PCI, GLBA, enterprise, or regulated-data requirement.

Do not submit data that requires specific security or compliance commitments unless SidecarIQ has signed a separate written agreement for that data.

9. Your Choices

You can choose not to submit information, not to connect accounts, or to stop using the Preview. You can revoke third-party integrations through the relevant product settings or third-party account settings.

If you need deletion, export, access, correction, opt-out, a data processing agreement, or other privacy rights or controls, contact SidecarIQ. Some requests may be limited by legal, security, backup, derived-data, product-development, and operational needs.

10. Business Use Only

The Preview is intended for business users evaluating a business product. It is not intended for consumer use, children's use, sensitive-data use, tenant-screening use, credit use, employment-screening use, or regulated eligibility decisions.
